Your PHP has a max_memory setting that is only 102 bytes less that what is needed for the upgrade. The 134217728 bytes is 128M. Suggest setting to at least 132M. Depending upon hosting provider and what type of package you have, either edit the php.ini for site/server or add php_value memory_limit 132M to .htaccess
